1. Welcome

Welcome to A Serious AI Sdn Bhd, provider of the SuDu AI Manufacturing Ex- ecution System (MES) and Enterprise Resource Planning (ERP) software. These Terms and Conditions (“Terms”) apply to all users of our website, www.sudu.ai, and our SuDu AI software services (“Services”), offered as Software as a Service (SaaS) subscriptions or perpetual licenses in Lite, Basic, Standard, and Enter- prise tiers. By accessing or using our website or Services, you agree to be bound by these Terms. If you do not agree, please do not use our website or Services.

2. General

These Terms may be updated, modified, or removed at our discretion. A Serious AI Sdn Bhd reserves the right to change these Terms without prior notice. Con- tinued use of the website or Services after changes constitutes acceptance of the updated Terms. Any violation of these Terms may result in immediate action, including suspension or termination of your access to the Services.

3. Intellectual Property

Unless otherwise stated, all content on www.sudu.ai and within the SuDu AI Ser- vices, including text, graphics, logos, software code, interfaces, and documenta- tion (“Content”), is the property of A Serious AI Sdn Bhd or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works of the Con- tent without our prior written consent, except as permitted under these Terms or applicable law.

4. License to Use Services

Subject to these Terms and your subscription or license agreement, A Serious AI Sdn Bhd grants you a non-exclusive, non-transferable, revocable license to access and use the SuDu AI Services for your internal business purposes, as fol- lows:

  • SaaS Subscriptions: Access to the Services (Lite, Basic, Standard, or Enter- prise tiers) for the subscription term, hosted on our servers.
  • Perpetual Licenses: Use of the software on your infrastructure, subject to the license scope and tier purchased.

You may not:

  • Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Services.
  • Share, sublicense, or transfer your access or license to third parties without our consent.
  • Use the Services for unlawful purposes, to develop competing products, or in violation of these Terms.

5. Trial Period

A Serious AI Sdn Bhd offers a 7-day trial period for the SuDu AI Services. Dur- ing the trial, you may access the Services (typically Lite or Basic tier) at no cost, subject to these Terms. No payment is required during the trial, but you must provide valid account information. At the end of the trial, you may choose to subscribe or purchase a license; otherwise, your access will be terminated, and trial data may be deleted after 30 days.

6. Acceptable Use

You agree to use the Services in accordance with these Terms and applicable laws. You may not:

  • Reverse-engineer, modify, or tamper with the software’s code or function-
  • Share account credentials or allow multiple users to access a single account without authorization.
  • Use the Services for illegal activities, including fraud, data theft, or violating Malaysian law.
  • Overload, disrupt, or attempt to bypass the security of our servers or sys-

7. User Content and Feedback

You may submit comments, feedback, or other content (“User Content”) through the Services or to hi@aserious.co. By submitting User Content, you grant A Se- rious AI Sdn Bhd a non-exclusive, worldwide, royalty-free license to use, repro- duce, and distribute such content for improving our Services. You agree that User Content will not:

  • Infringe any third-party rights, including copyrights, trademarks, or pri- vacy rights.
  • Contain unlawful, abusive, or obscene You are solely responsible for the content you submit.

8. Data Usage

You retain ownership of all data you input into the SuDu AI Services, includ- ing master data (e.g., BOMs, material records) and transactional data (e.g., pro- duction orders, inventory movements). You grant A Serious AI Sdn Bhd a non- exclusive, worldwide license to process, store, and use your data to:

  • Deliver and improve the Services, including AI-driven analytics (e.g., pre- dictive maintenance, demand forecasting).
  • Comply with legal obligations or support third-party integrations (e.g., SQL Accounting, AutoCount Accounting, payment gateways).

We will maintain the confidentiality of your data, using industry-standard secu- rity measures, except when disclosure is required by law or permitted by these Terms. Upon termination, your data will be deleted within 30 days, unless re- tention is required for legal or contractual purposes.

9. Account Responsibilities

To access the Services, you must create an account and provide accurate, com- plete information. You agree to:

  • Keep your account credentials confidential and not share them with
  • Notify us immediately of any unauthorized access to your account at hi@aserious.co.

A Serious AI Sdn Bhd is not liable for any loss or damage arising from your failure to secure your account.

10. Payments

Payments for SaaS subscriptions or perpetual licenses (Lite, Basic, Standard, or Enterprise tiers) must be made via:

  • Bank
  • Credit or debit

Payments are subject to validation and authorization by your payment provider. Non-payment may result in suspension or termination of your access. All fees are non-refundable, as outlined in the Refund Policy.

11. Refund Policy

A Serious AI Sdn Bhd does not offer refunds for SaaS subscriptions or perpetual licenses, including for partial or unused terms. Please ensure the Services meet your needs during the 7-day trial period before purchasing.

12. Support and Maintenance

A Serious AI Sdn Bhd provides technical support and maintenance for the SuDu AI Services to ensure optimal performance, included in SaaS subscriptions and available for perpetual licenses per your agreement. Support and maintenance are provided as follows:

  • Support Services:
    • Support Channels: Submit support requests via email to hi@aserious.co (all tiers) or through our online support portal (Standard and Enter- prise tiers). Phone support is available for Enterprise tier customers during business hours (9 AM–6 PM MYT, Monday–Friday).
    • Severity Levels and Response Times:

                     Critical (e.g., complete system downtime, critical functionality fail- ure): Initial response within 4 hours; resolution target within 24 hours (best effort).

                     High (e.g., major feature failure impacting operations): Initial re- sponse within 8 hours; resolution target within 3 business days.

                     Medium (e.g., minor feature issues, partial functionality loss): Ini- tial response within 24 hours; resolution target within 5 business days.

                     Low (e.g., general inquiries, cosmetic issues): Initial response within 48 hours; resolution target within 10 business days.

    • Business Hours: Support is provided during 9 AM–6 PM MYT, Monday– Friday, for Lite, Basic, and Standard Enterprise tier customers receive 24/7 support for Critical and High severity issues.
    • Escalation: If an issue is not resolved within the target time, you may escalate it via the support portal or by contacting hi@aserious.co.
  • Maintenance Services:
    • Updates and Patches: We provide regular software updates, security patches, and bug fixes to maintain the Services’ performance and se- curity, included in SaaS subscriptions and available for perpetual li-
    • Upgrades: New features or major version upgrades may be provided at our discretion, with advance notice for compatibility
    • Planned Maintenance: Scheduled maintenance (e.g., system upgrades, server updates) will occur during low-usage periods, with at least 48 hours’ notice via email or the support portal. Emergency maintenance may occur with shorter notice if critical to service integrity.
  • Exclusions: Support does not cover:
    • Issues caused by user errors, misuse, or unauthorized modifications to the Services.
    • Problems arising from third-party integrations (e.g., SQL Accounting, AutoCount Accounting, payment gateways) or external systems.
    • Customizations or configurations not provided by A Serious AI Sdn
    • Hardware, network, or internet connectivity issues on your

Support requests outside the scope of these Terms may incur additional fees, subject to mutual agreement.

13. Third-Party Integrations

The Services integrate with third-party services, including SQL Accounting, Au- toCount Accounting, and payment gateways. A Serious AI Sdn Bhd is not re- sponsible for the performance, security, or privacy practices of these third-party services. You agree to comply with their terms and conditions when using inte- grated features.

14. Termination

You may terminate your SaaS subscription by providing 30 days’ written notice to hi@aserious.co. For perpetual licenses, you must cease using the software upon termination. A Serious AI Sdn Bhd may suspend or terminate your access to the Services without prior notice if you:

  • Fail to make payment within 14 days of an invoice due
  • Misuse the Services, including violating the Acceptable Use policy, engaging in unauthorized access, or using the Services to harm others.
  • Breach any other provision of these

Upon termination, your license to use the Services ends, and you must cease all access. We may delete your data within 30 days, unless retention is required by law. Provisions of these Terms that should survive termination (e.g., intellectual property, indemnification) will remain in effect.

15. Indemnification

You agree to defend, indemnify, and hold harmless A Serious AI Sdn Bhd, its af- filiates, and their respective officers, directors, and employees from any claims, damages, costs, or expenses (including legal fees) arising from:

  • Your use of the website or
  • Your violation of these Terms or applicable
  • Your User Content or infringement of third-party

16. Disclaimer of Warranties

The website and Services are provided “as is” and “as available” without war- ranties of any kind, express or implied, including warranties of merchantabil- ity, fitness for a particular purpose, or non-infringement. A Serious AI Sdn Bhd does not guarantee that the Services will be uninterrupted, error-free, or free from viruses or other harmful components. We reserve the right to correct any errors or inaccuracies in the Services without prior notice.

17. Limitation of Liability

To the fullest extent permitted by Malaysian law, A Serious AI Sdn Bhd shall not be liable for any indirect, incidental, special, consequential, or punitive dam- ages, including loss of profits, data, or business opportunities, arising from your use of the website or Services, even if advised of the possibility of such damages. Our total liability for any claim shall not exceed the amount paid by you for the Services in the preceding 12 months.

18. Governing Law and Dispute Resolution

These Terms are governed by the laws of Malaysia. Any disputes arising from these Terms or your use of the Services shall be resolved through good-faith ne- gotiation. If negotiation fails, disputes shall be subject to the exclusive jurisdic- tion of the courts of Malaysia.

19. Changes to These Terms

We may update these Terms at any time by posting the revised version on www. sudu.ai. Significant changes will be communicated via email or a notice on our website. Your continued use of the Services after changes constitutes acceptance of the updated Terms.
